Prepared and negotiated contract of sale for sale of a restaurant corporation in northern Westchester, New York.

Negotiated acquisition of voice and messaging divisions of telecom company and magazine and database divisions of publishing company.

Developed outsourcing, OEM, integration and maintenance agreements for computer products corporation.

Guided multimedia development company in proactive resolution of legal issues regarding hardware development, software licensing and information management.

Intellectual Property

Assisted apparel company on all trademark matters including review of proposed brand names and preparation and prosecution of applications to register trademarks.

Advised a distance learning company on access, use and ownership of information in the public domain or contained on proprietary computer databases.

Developed domestic and foreign copyright and trademark protection system for computer publishing company.

Municipal, Land Use and Zoning

Through legal argument and negotiation, obtained sign permit approval for a national store chain in a jurisdiction which prohibited such signs.

Represented homeowners in negotiation with a Westchester Village for right to use Village-owned property as a buffer.

As Village Attorney for Village of Mount Kisco, New York, prepared of legislation, managed litigation, supervised outside counsel, and rendered advice to the Mayor, Board of Trustees and Village Manager. Projects included (a) purchase by Village of Swiss Benevolent Society Property to preserve 50 acres of open space on Kisco Mountain, (b) creation of one of first New York local laws guiding the placement of cell towers away from environmentally sensitive areas, (c) preservation of Byram Lake watershed by obtaining conservation easements and organizing legal review of Trump?s Seven Springs project, (d) negotiation of contracts with vendors, suppliers and contractors for all Village products and services, (e) obtaining permanent easements from one dozen property owners to create the new Shoppers Park esplanade.

Telecommunications

Prepared standard form customer contracts for Massachusetts audiconferencing company.

Negotiated a global agreement on behalf of a British telecommunications company for the sale of a computerized trading system to international investment bank.

Organized telecommunications cable-laying company including formation and financing, preparation of employment and consulting agreements and assurance of regulatory compliance.
